Sotto Contributor License Agreement (CLA)

Thank you for your interest in contributing to Sotto (the "Project"). In order to clarify the intellectual property license granted with Contributions from any person or entity, Untacorp (the "Project Owner") must have a Contributor License Agreement ("CLA") on file from each Contributor, signed or agreed to electronically.

This agreement protects you as a Contributor as well as the Project Owner and its users; it does not change your right to use your own Contributions for any other purpose.

Please read this document carefully before submitting your Contribution.

1. Definitions

  • "You" (or "Your") shall mean the copyright owner or legal entity authorized by the copyright owner that is making this Agreement with the Project Owner.
  • "Contribution" shall mean any source code, documentation, or other material submitted by You for inclusion in, or documentation of, the Project.
  • "Submitted" means any form of electronic, verbal, or written communication sent to the Project Owner or its representatives, including but not limited to communication on electronic mailing lists, source code control systems (like GitHub), and issue tracking systems.

2. Grant of Copyright License

Subject to the terms and conditions of this Agreement, You hereby grant to the Project Owner (Untacorp) a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to:

  • Reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.
  • Sublicense these rights through multiple tiers of sublicenses, including the right to license the Contributions under commercial, proprietary, or alternative open-source licenses (such as AGPLv3, MIT, Apache 2.0, etc.) at the Project Owner's sole discretion.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to the Project Owner a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Project.

4. Ownership and Rights

You represent that:

  • You are legally entitled to grant the licenses set forth above.
  • Each of Your Contributions is Your original creation (you own the copyright or have explicit permission from the copyright owner to submit it).
  • Your Contribution does not, to the best of your knowledge, infringe any third-party copyrights, patents, or trademarks.

Except for the licenses granted herein to the Project Owner and recipients of software distributed by the Project Owner, You reserve all right, title, and interest in and to Your Contributions.

5. No Warranty

Except as expressly stated herein, Your Contributions are provided on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

6. Notification of Changes

You agree to notify the Project Owner of any facts or circumstances of which you become aware that would make these representations inaccurate in any respect.

7. Agreement Mechanism

By opening a Pull Request, submitting an Issue containing code, or otherwise transferring Contributions to the Untacorp/Sotto repositories, You explicitly acknowledge that You have read, understood, and agreed to the terms of this Contributor License Agreement.

If You are contributing on behalf of Your employer, You represent that You have the legal authority to bind Your employer to these terms.
