PART 1 — OPEN SOURCE GRANT

Permission is hereby granted, free of charge, to any person obtaining a copy
of this software and associated documentation files (the "Software"), to use,
copy, modify, merge, publish, distribute, and sublicense the Software, subject
to the following conditions:
1. The above copyright notice and this permission notice shall be included in
all copies or substantial portions of the Software.
2. Contributions to the Software are governed by the Contributor Agreement
described in CONTRIBUTING.md. By submitting a contribution, you agree to
its terms.
3. The Software is provided "AS IS", without warranty of any kind, express or
implied, including but not limited to the warranties of merchantability,
fitness for a particular purpose, and noninfringement.

PART 2 — INTELLECTUAL PROPERTY DISPOSITION CLAUSE

The following terms govern the sale, transfer, or exclusive licensing of the
Software's intellectual property rights ("IP Disposition"):
A. MINIMUM VALUATION FLOOR
The IP rights to this Software (including patents, trademarks, trade
secrets, and copyrights held by the project) SHALL NOT be sold,
exclusively licensed, or otherwise transferred to any third party for
a total consideration below the following thresholds:
- Year 1 (April 7, 2026 — April 6, 2027): $100,000,000 USD
- Year 2 (April 7, 2027 — April 6, 2028): $1,000,000,000 USD
- Year 3 (April 7, 2028 — April 6, 2029): $10,000,000,000 USD
- Year N (each subsequent year): 10x the prior year's floor
"Total consideration" includes cash, stock, earn-outs, royalties, and any
other form of value received by the selling parties.
B. PROCEEDS DISTRIBUTION
Any proceeds from an IP Disposition SHALL be distributed as follows:
- 33% — Nephilim Venture Capital (or its successors/assigns)
- 33% — Core Team (as defined in GOVERNANCE.md)
- 33% — Community Contributors (pro-rata by contribution weight as
defined in GOVERNANCE.md)
- 1% — Security Bounty Reserve (held for ongoing security research
and vulnerability disclosure rewards)
C. GOVERNANCE APPROVAL
Any IP Disposition requires approval from:
- Nephilim Venture Capital (or its designated representative), AND
- A supermajority (2/3) of the Core Team as listed in GOVERNANCE.md
D. NON-EXCLUSIVE LICENSING
Nothing in this clause restricts non-exclusive commercial licensing,
SaaS offerings, support contracts, or other revenue activities that
do not constitute a full transfer of IP rights. Such revenues are
governed by the project's governance documents.

PART 3 — GENERAL

IN NO EVENT SHALL THE AUTHORS, COPYRIGHT HOLDERS, OR NEPHILIM VENTURE CAPITAL
BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF
CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE
SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
This license is binding on all parties who hold copyright in the Software.
Contributors assign sufficient rights via the Contributor Agreement to enable
enforcement of these terms.
