End User License Agreement (EULA)
IMPORTANT: PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.

This End User License Agreement ("Agreement") is a legal agreement between you (an individual or entity) and Sherlock Software Inc. ("Licensor") for the software product SQL Server Script and Document Builder ("Software").

By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant
Licensor hereby grants you a limited, non-exclusive, non-transferable license to install and use the Software under the following conditions:

Personal Use: You may use the Software free of charge for personal, non-commercial purposes.

Internal Use: Organizations may use the Software free of charge for internal purposes only, provided such use does not involve any direct or indirect commercial gain.

Prohibited Commercial Use: You may not use the Software for any commercial purposes, including but not limited to:

Providing services to third parties using the Software.

Distributing the Software as part of a commercial product or service.

Using the Software in a commercial environment where the Software contributes to revenue generation or business operations aimed at profit.

For commercial use, you must obtain a separate commercial license from Licensor.

2. Restrictions
You shall not:

Rent, lease, lend, sell, sublicense, or otherwise transfer the Software without written permission from Licensor.

Remove or obscure any proprietary notices or labels on the Software.

3. Ownership
The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.

4. Disclaimer of Warranty
The Software is provided "AS IS" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

5. Limitation of Liability
In no event shall Licensor be liable for any damages arising out of the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

6. Termination
This license is effective until terminated. Licensor may terminate this license at any time if you fail to comply with the terms of this Agreement. Upon termination, you must destroy all copies of the Software.

7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Canada, Province of British Columbia, without regard to its conflict of law principles.
