LeastAction Labs, Inc.
Thank you for your interest in contributing to LeastAction. This Contributor License Agreement ("Agreement") documents the rights granted by contributors to LeastAction Labs, Inc. ("LeastAction Labs"). This Agreement is for your protection as a contributor as well as the protection of LeastAction Labs and its users.
Please read this Agreement carefully before contributing. By submitting a contribution, you agree to the terms below.
"You" means the individual or legal entity submitting a contribution.
"Contribution" means any original work of authorship, including modifications or additions to existing work, submitted by You to LeastAction Labs for inclusion in the LeastAction project.
"Project" means the LeastAction software and related repositories maintained by LeastAction Labs.
Subject to the terms of this Agreement, You hereby grant to LeastAction Labs and recipients of software distributed by LeastAction Labs a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works, including in proprietary or commercial versions of the Project.
Subject to the terms of this Agreement, You hereby grant to LeastAction Labs and recipients of software distributed by LeastAction Labs a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Project, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the Project.
- You are legally entitled to grant the above licenses.
- If your employer has rights to intellectual property you create, you have received permission to make the Contribution on behalf of that employer, or your employer has waived such rights.
- Your Contribution is your original creation and does not knowingly include any third-party material that would require rights beyond those granted here.
- Your Contribution does not violate any applicable law.
You understand that the decision to include your Contribution in the Project is entirely at the discretion of LeastAction Labs. This Agreement does not obligate LeastAction Labs to use or distribute your Contribution.
You reserve all rights to your Contribution not expressly granted under this Agreement. This Agreement does not restrict You from using your own Contribution for any purpose.
You acknowledge that LeastAction Labs may offer the Project or derivative works under commercial licenses, including an Enterprise Edition. The licenses granted here permit LeastAction Labs to include your Contribution in such commercial offerings.
To the extent permitted by applicable law, You waive all moral rights in Your Contributions, including the right of integrity and the right of association, as recognized under the Canadian Copyright Act (R.S.C., 1985, c. C-42) and any equivalent provisions under applicable law.
Your Contributions are provided "as is". You make no warranties, express or implied, regarding your Contributions.
This Agreement is governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration under the rules of the ADR Institute of Canada, Inc., by a single arbitrator, with proceedings conducted in English in British Columbia, Canada.
